Terms of Service

1. Acceptance of Terms

By accessing or using QuoteAV ("the Service"), operated by QuoteAV ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your organization.

2. Description of Service

QuoteAV is a web-based quoting and proposal platform designed for audio-visual integrators. The Service allows users to create, manage, and share AV project quotes, manage product libraries, and generate professional proposals.

3. Accounts and Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for an extended period.

4. Free and Paid Plans

QuoteAV offers a free tier with core functionality and a paid Premium tier with additional features. By subscribing to a paid plan:

  • You authorize us to charge the applicable subscription fee to your payment method
  • Subscriptions are billed on a recurring monthly basis unless cancelled
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • Refunds are handled on a case-by-case basis at our discretion

We reserve the right to change pricing with 30 days' notice. Price changes will not apply to your current billing period.

5. Your Data

You retain full ownership of all data you enter into QuoteAV, including quotes, client information, product libraries, and company details ("Your Data"). We do not claim any ownership rights over Your Data.

You grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for any purpose other than operating the Service.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Use the Service to send unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Create multiple accounts to circumvent plan limitations

7. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by QuoteAV and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, branding, or proprietary technology.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

QuoteAV is a quoting tool, not a financial or legal advisory service. You are solely responsible for the accuracy of your quotes, pricing, and business decisions.

9. Limitation of Liability

To the maximum extent permitted by law, QuoteAV and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising under these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may delete your account at any time by contacting us. We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We may retain Your Data for a reasonable period to allow you to export it, after which it will be permanently deleted.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the United States. Any disputes arising from these terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
